These Terms of Service ("Terms") govern your use of the risingempire restaurant payroll management software and related services provided by risingempire AG ("we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms.
By creating an account, accessing, or using any part of risingempire's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms apply to all users of the service, including without limitation users who are browsers, customers, merchants, and contributors of content.
risingempire provides cloud-based payroll management software specifically designed for restaurants and hospitality businesses. Our services include employee time tracking, scheduling management, payroll processing, compliance monitoring, and related features as described on our website and in our service documentation.
To access our services, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

Our services are provided on a subscription basis with fees as specified in your chosen plan. Payment is due in advance for each billing period. We reserve the right to modify our pricing with thirty (30) days' notice. If payment is not received by the due date, we may suspend or terminate your access to the services.
We are committed to protecting your privacy and personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
The risingempire service, including all software, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code, is owned by risingempire and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our service without our prior written consent.
We strive to maintain high service availability but do not guarantee uninterrupted access to our services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the service without notice or liability.
To the maximum extent permitted by applicable law, risingempire shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the services during the twelve (12) months preceding the claim.
You agree to defend, indemnify, and hold harmless risingempire, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the services.
These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts of Munich, Germany, and you hereby consent to the jurisdiction and venue of such courts.
Either party may terminate these Terms at any time with thirty (30) days' written notice. We may also terminate or suspend your account immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use the service will cease immediately, and we may delete your account and all associated data after a reasonable retention period for legal and business purposes.
Before filing any formal legal proceeding, you agree to first contact us to seek a resolution of any dispute. We are committed to working with our customers to resolve disputes in good faith. If we cannot reach a mutually agreeable solution within sixty (60) days, either party may pursue formal legal remedies.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. These Terms, together with our Privacy Policy and any other legal notices published by us on the service, constitute the entire agreement between you and risingempire concerning the service.
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our service before the changes become effective. Your continued use of the service after such modifications constitutes your acceptance of the updated Terms.
